Voting Rules and Procedures

These Voting Rules and Procedures are subject to change at any time at the sole discretion of NBC Sports, a division of NBCUniversal Media, LLC (“NBC Sports”).  Void where prohibited.

Voting (“Voting”) is simple and easy.  To vote, you can visit either https://www.nbcsports.com/bayarea/AST, or send in your vote via e-mail during the Voting Period. Voting will be conducted pursuant to these Voting Rules and Procedures and any such other rules and procedures as NBC Sports may from time to time designate.

Eligibility:  You must be thirteen (13) years of age or older to submit your vote (“Vote”). You must be a permanent, legal resident of the United States physically residing in California (“Geographic Area”). Votes must be cast by the authorized account holder of the e-mail account from which the Vote is made. NOTE: IF YOU ARE BETWEEN THE AGES OF THIRTEEN (13) AND EIGHTEEN (18) YEARS OF AGE, YOU MUST HAVE PARENTAL PERMISSION TO VOTE.

Voting Period and Restrictions:  Voting is open from April 23, 2021 at 12:01 A.M. PT until June 18, 2021 at 11:59 P.M. PT (“Voting Period”). Voting is currently limited to one (1) vote per person per day per method during the Voting Period, but NBC Sports reserves the right to change the limit on the number of Votes, in its sole discretion.  Notification regarding any such change will be announced on-air and/or posted on the Website (defined below).

How to Vote Online:  Individuals can Vote 1 of the 2 following ways: 1) Visit the NBC Sports Bay Area website at https://www.nbcsports.com/bayarea/AST (the “Website”) and cast your vote for one of the five finalists (the “Finalist”) of your choice, or 2) E-mail AuthenticFanPrograms@nbcuni.com with the subject “All-Star Teacher” and enter the name of the Finalist you would like to vote for in the body of your e-mail.

General Conditions:  NBC Sports has the right, in its sole discretion, to void any Vote that appears, to have been made by a person not meeting the eligibility requirements set forth above, or to be an automated or duplicate Vote, and has the right to permanently disqualify from any Voting any person it believes has violated these rules. If for any reason the Voting is not capable of being run or implemented as planned, including, but not limited to, as the result of infection by computer viruses or bugs, tampering, unauthorized intervention, fraud, or any other cause beyond the control of NBC Sports, which is likely to, or actually corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Voting, then NBC Sports reserves the right, in its sole discretion, to withdraw the transmission of any Vote and/or to terminate or suspend the Voting at any point and declare the Voting results based upon the Votes up to that point.  In the event of technical difficulties with the Voting, including, but not limited to, mobile or Internet service interruptions, NBC Sports reserves the right to review the Votes for accuracy and to take any appropriate action, including, without limitation, voiding the Votes cast during the time period in which such technical difficulties occurred.  NBC Sports, NBCUniversal Media, LLC, their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, any other entity involved in the development or administration of the Voting, and each of their respective directors, officers, employees and assigns (collectively the “Released Parties”) are not responsible for any computer, network, technical, electronic, human or other errors or problems of any kind, for any injury or damage to participants or to any person’s computer or mobile phone relating to or resulting from Voting or downloading materials or software in connection with the Voting, or for Votes that are stolen, misdirected, garbled, delayed, lost, or late.  By participating, each individual agrees to release and hold the Released Parties harmless against any and all claims and liability of any kind arising in whole or in part, directly or indirectly, out of their participation in the Voting.  Administrators will take reasonable steps where practicable to prevent Voting outside of the Geographic Area; however, some Votes cast outside of the Geographic Area may be counted, and such individual waives any claims such individual may have against the Administrators as a result of the inclusion of such Votes.

Information collected from you via Voting is subject to the NBCUniversal Privacy Policy (located at www.nbcuniversal.com/privacy).

Caution: Any attempt by you or any other individual to deliberately damage any online service, mobile phone service, or web site, tamper with the Voting process, or otherwise undermine the legitimate operation of the Voting is a violation of criminal and civil laws and should such an attempt be made, Released Parties reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. 

Disputes:  THESE RULES, AND SUBMISSION OF YOUR VOTE, ARE GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”).  THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK.  ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK.  THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

 

 

UPDATE NOTICE:  These Official Rules have been updated as of April 23, 2021.  The “Preliminary Information,” “Judging; Selection and Notification of Finalists and Grand Prize Winner,” and “Winner Announcement” sections, have been updated with the following changes: (i) updated Contest Period end date from January 31, 2020 to June 18, 2021; (ii) updated start date for Round 2: Public Voting of Grand Prize Winner has been changed from April 6, 2020 to April 23, 2021; (iii) updated end date for Round 2: Public Voting of Grand Prize Winner has been changed from June 1, 2020 to June 18, 2021; (iv) updated start date to request the list of Winners has been changed from June 8, 2020 to July 16, 2021; and (v) updated end date to request the list of Winners has been changed from August 3, 2020 to September 10, 2021.  All changes are noted in highlight.

Official Rules

January 3, 2020 – June 18, 2021

 

PRELIMINARY INFORMATION: No purchase necessary. A purchase will not improve your chances of winning. Void outside California and where prohibited. The NBC Sports Bay Area and California All-Star Teacher Contest (“Contest”) will begin on January 3, 2020 at 11:59 A.M. PT and end on June 18, 2021 at 11:59 P.M. PT (“Contest Period”). All times in the Contest refer to Pacific Time (“PT”). Odds of winning depend upon the number of eligible entries received. Contest is subject all applicable federal, state and local laws. PRIZE (DEFINED BELOW) DOES NOT INCLUDE TRANSPORTATION, PARKING OR ACCOMMODATIONS.

ELIGIBILITY: Open only to permanent, legal United States residents who are physically residing in California and who are thirteen (13) years of age or older as of the start of the Contest Period. NOTE: IF YOU ARE BETWEEN THE AGES OF THIRTEEN (13) AND EIGHTEEN (18) YEARS OF AGE, YOU MUST HAVE PARENTAL PERMISSION TO ENTER THE CONTEST. Officers, directors, and employees of Contest Entities (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win the Contest. Contest Entities, as referenced herein, shall include Comcast SportsNet California, LLC d/b/a NBC Sports Bay Area and NBC Sports California, 360 Third Street, Suite 200, San Francisco, CA 94107, NBCUniversal Media, LLC, 30 Rockefeller Plaza, New York, NY 10112 (collectively, “Sponsors”), and their respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Contest. Teacher (defined below) must meet all eligibility requirements stated above and outlined throughout the Official Rules. Entrants are not eligible to receive First Prizes (defined below) or the Grand Prize (defined below). First Prizes and Grand Prize will only be awarded to the Teacher who is nominated in the Entry (defined below) selected by relevant Judges.

HOW TO ENTER: To Enter the Contest, you must fill out the entry form, which asks for your full name, date of birth, email address, ZIP code, school, school phone number, cable provider (optional), and your Teacher Nomination Form (defined below) (“Entry”). If you are under eighteen (18) years of age, you must have the permission of your parent or guardian to enter. You must nominate a teacher who is currently teaching grade six (6) through grade twelve (12) levels (“Teacher”). As part of the Entry, you will be required to submit a nomination form describing the Teacher’s commitment to the school, teaching style, rapport with students, and distinguishing characteristics (“Nomination Form”). All Nomination Forms must be filled out in English and must answer all four (4) of the questions with each question’s answer being one hundred fifty (150) words or less. You must submit the Nomination Form as part of your Entry to enter and be eligible for the Contest. Your Nomination Form must be original (that is, written by you), true, and verifiable. You must have the permission of any person that you identify or otherwise refer to in your Nomination Form.

There are two (2) methods to enter the Contest:

  1. Website Entry: To enter the Contest, during the Contest Period, log on to the NBC Sports Bay Area website, located at https://www.nbcsports.com/bayarea/AST (the “Website”), and follow the provided instructions to fill out the Nomination Form and complete your Entry (“Online Entry”).  
  2. Mail-In Entry: To enter the Contest, during the Contest period, visit the Website and follow the instructions to print out the Nomination Form (described above) and legibly hand write your answers. Entrants can also e-mail NBC Sports at info@nbcsbayarea.com to request the Nomination Form be e-mailed to them. If you are between thirteen (13) and eighteen (18) years of age, a parent or guardian must e-mail NBC Sports at info@nbcsbayarea.com on your behalf to request the Nomination, submit an Entry, and enter the Contest. Fill out the Nomination Form and mail it to NBC Sports Bay Area and California All-Star Teacher Contest, 360 Third Street, Suite 200, San Francisco, CA 94107 to complete your Entry (“Mail-In Entry”). Mail-in Entries must be postmarked by January 31, 2020 and received by February 5, 2020 at 5:00 P.M. PT.

Online Entries and Mail-In Entries will be referred to herein as “Entry” or “Entries.” All Entries become the property of Sponsors and will not be acknowledged or returned.If you are under eighteen (18), you must have the permission of your parent or guardian to enter.

By entering the Contest, entrants grant Sponsors the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Nomination Form and to incorporate the Nomination Form in other works in any and all markets and media worldwide in perpetuity. Entrants warrant that they have the sole and exclusive right to grant such rights to Sponsors and that the Sponsors' reproduction, publishing, displaying, and/or other use of the Nomination Form will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If any Nomination Form contains material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive or if any Nomination Form does not comply with these Official Rules or meet Sponsors’ standards for any reason, as determined by Sponsors in their sole discretion, such Nomination Forms (and the related Entries) may be rejected as ineligible for consideration.  Entries must comply with all applicable laws, rules, and regulations. Sponsors shall have no obligation to copy, publish, display, or otherwise exploit the Nomination Form.

Online Entries must be received before January 31, 2020 at 11:59 P.M. PT and Mail-In Entries must be postmarked no later than January 31, 2020 and received by February 5, 2020 at 5:00 P.M. PT to be eligible for the Contest. Sponsors’ computer shall be the official timekeeper for all matters related to this Contest. Limit one (1) Entry per person during the Contest Period. Multiple entries received from any person or email address beyond this limit will void all such additional entries. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. In case of a dispute over the identity of an entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant. “Authorized account holder” is defined as the person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Entry constitutes permission (except where prohibited by law) to use entrant’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval. 

PRIVACY: Entrants will have the opportunity to receive information from Sponsors and selected partners by checking the appropriate box(es). If, at any time, you no longer wish to receive materials from Sponsors, or our partners, please go to our privacy policy, located at http://www.nbcuniversal.com/privacy, or the applicable partner’s privacy policy and follow the procedures indicated.

JUDGING; SELECTION AND NOTIFICATION OF FINALISTS AND GRAND PRIZE WINNER: There will be two (2) rounds of judging: Round 1: initial judging to determine the Finalists (defined below); Round 2: public voting to determine the Grand Prize Winner (defined below).

Round 1: Initial Judging for the Finalists: On or about February 13, 2020, one (1) or more qualified judges selected by Sponsors (“Judges”) will review all eligible Entries received during the Contest Period and select five (5) finalists (“Finalists,” each a “Finalist”) from among the nominated Teachers based on the following judging criteria (“Judging Criteria”): Overall Commitment (25%), Excellence in Teaching (25%), Rapport with Students (25%) and Level of Distinction (25%). Each Finalist will advance to Round 2 (described below) and be named a first prize winner (“First Prize Winner,” collectively, “First Prize Winners”), subject to verification of eligibility. In the event of a tie, the Judges will break the tie by selecting the tied entrant who received the highest points from the Judges for Overall Commitment to advance to Round 2. In the event a tie remains, an additional tie-breaking judge will judge the tied Entries, using the Judging Criteria, to determine which of the tied Entries will advance to Round 2. Decisions of Sponsors and Judges are final and binding with respect to all matters related to the Contest. Sponsors reserve the right to pick fewer than five (5) Finalists (or none at all) or to extend the Contest Entry Period if the Contest does not receive a sufficient number of eligible and qualified Entries, as determined by Sponsors in their sole discretion. Sponsors will make two (2) attempts to notify each potential Finalist at the phone number and/or email address submitted at the time of Entry. Potential Finalists may each be required to execute and return an affidavit of eligibility, release of liability, acknowledgment by Teacher’s school that Teacher may accept Prizes (defined below), and, except where prohibited, publicity release (collectively, “Contest Documents”) within two (2) days of such notification. Noncompliance within this time period, with these Official Rules or the return of or inability to deliver notification may result in disqualification and, at Sponsors' discretion, and time permitting, an alternate potential Finalist may be selected from among all eligible remaining Entries based on the Judging Criteria. All potential Finalists will be selected subject to verification of eligibility and compliance with the terms of these Official Rules.

Round 2: Public Voting for Grand Prize Winner: Beginning on or about April 23, 2021, the Finalists’ Entries will be posted on the Website in a randomized manner for public viewing and voting. On or about April 23, 2021 at 12:01 A.M. PT until June 18, 2021 at 11:59 P.M. PT, or on such other dates and at such other times as determined by the Sponsors in their sole discretion (the “Voting Period”), visitors to the Website may vote for their favorite Finalist according to the Judging Criteria, voting rules, and procedures established by the Sponsors, which will be posted on the Website (https://www.nbcsports.com/bayarea/AST). The Finalist who receives the most votes during the Voting Period, as determined by Sponsors in their sole discretion, will be the grand prize winner (“Grand Prize Winner”), subject to verification of eligibility and compliance with these Official Rules. In the event of a tie, ties will be broken as described with regards to Finalists. The Finalists who are not the Grand Prize Winner will be the First Prize Winners. The Voting Period, voting rules and procedures and voting methods are subject to change, at the Sponsors’ sole discretion, and any changes will be posted on the Website. Voting is currently limited to one (1) vote per person per day per method during the Voting Period, but Sponsors reserve the right to change the limit on the number of votes, in their sole discretion. Notification regarding any such change will be announced on the Website. Grand Prize Winner and First Prize Winners (collectively referred to as “Winner” or “Winners”) will be required as a condition of continued eligibility to sign Contest Documents within five (5) days of such notification. Noncompliance within this time period will result in disqualification. If the potential Grand Prize Winner or any First Prize Winner cannot be reached or is found ineligible, cannot or does not comply with the foregoing requirements and these Official Rules, Prize (defined below) or prize notification is returned as undeliverable, or does not satisfactorily execute all of the Contest Documents, potential Grand Prize Winner or First Prize Winner will be disqualified and Sponsors will award the Grand Prize (defined below) to the runner-up Finalist. Entrants are not eligible to receive Grand Prize (defined below) or First Prizes (defined below).

FIRST PRIZE: There will be five (5) first prizes (“First Prizes,” each a “First Prize”) awarded; one (1) First Prize will be awarded to each First Prize Winner. Each First Prize will consist of the following: ten (10) tickets for First Prize Winner and up to nine (9) guests (“Guests,” each a “Guest”) to a San Francisco Giants baseball game, on a date to be determined in Sponsors’ sole discretion, scheduled to take place at AT&T Park, 24 Willie Mays Plaza, San Francisco, CA 94107 (“Event”).

GRAND PRIZE: There will be one (1) grand prize (“Grand Prize”) awarded to the Grand Prize Winner. Grand Prize will consist of the following: Twenty Thousand Dollars ($20,000) awarded to the school where the Teacher is employed. Funds will be designated to educational programs, materials, or services as determined by school officials in their sole discretion.

Estimated Retail Value (“ERV”) of each First Prize is Two Hundred Fifty Dollars ($250). ERV of all First Prizes is One Thousand Two Hundred Fifty Dollars ($1,250). ERV of Grand Prize is Twenty Thousand Dollars ($20,000). ERV of all Prizes is Twenty-One Thousand Two Hundred Fifty Dollars ($21,250). Actual Retail Value (“ARV”) of Prizes may vary. Any difference between stated ERV and ARV will not be awarded. Grand Prize Winner’s school will receive an Internal Revenue Service Form 1099 from Sponsors for the total ARV of Grand Prize for the calendar year in which Grand Prize was awarded. PRIZES DO NOT INCLUDE TRANSPORTATION, PARKING OR ACCOMMODATIONS.

First Prizes and Grand Prize will be collectively referred to herein as the “Prizes.” Sponsors will determine all details of Prizes in their sole discretion. Sponsors reserve the right to substitute a similar Prize (or Prize element) of comparable or greater value. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prizes are the sole responsibility of each Winner and/or his or her school. Prizes cannot be transferred by Winners or redeemed for cash and are valid only for the items detailed above, with no substitution of Prize by Winners. If a Prize is unclaimed within a reasonable time after notification from Sponsors, as determined by Sponsors in their sole discretion, it will be forfeited, and time permitting, an alternate Winner may be selected from the remaining eligible Entries at Sponsors’ sole discretion. Winners acknowledge that accepting the Prize shall constitute full satisfaction of Sponsors’ Prize obligation to Winners, and no additional compensation will be awarded. Prizes are subject to certain terms and conditions as specified by issuer.

Sponsors shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsors’ control, and are not responsible or liable for any expenses incurred as a consequence thereof. Date and/or time of Event are subject to change. Event is subject to cancellation. If Winner chooses to attend the Event with no, or fewer than nine (9), Guests, the remaining elements of Prize shall constitute full satisfaction of Sponsors’ Prize obligation to Winner and no additional compensation will be awarded. Guests, if any, may be required to execute and return releases of liability and, where legal, publicity releases (collectively, “Guest Documents”), which must be returned with the Sweepstakes Documents, or Guest portion of the Prize will be forfeited. If any Guest is a minor, Winner must be such minor’s parent or legal guardian and must execute and return the Guest Documents on such minor’s behalf.

CONDITIONS: By entering the Contest, each entrant agrees for entrant and for entrant’s heirs, executors, and administrators (a) to release and hold harmless Contest Entities, and their respective officers, directors, and employees (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in the Contest and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by Prize supplier that are sent along with Prize; (c) if selected as a Winner, to the posting of such entrant’s name on Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and, (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsors, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest at Sponsors’ sole discretion.

ADDITIONAL TERMS: Sponsors reserve the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsors, who may seek damages to the fullest extent permitted by law. The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsors reserve the right to cancel, modify, or suspend the Contest or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsors reserve the right to select Winners from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension based on the Judging Criteria above. Notice of such cancellation, modification, or suspension will be posted at Website. Sponsors may prohibit any entrant or potential entrant from participating in the Contest, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsors, or Sponsors’ agents or representatives; or behaves in any other disruptive manner (as determined by Sponsors in their sole discretion). Sponsors reserve the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

DISPUTESThe Contest is governed by, and will be construed in accordance with, the laws of the State of New York, and the forum and venue for any dispute shall be in New York, New York. If THE controversy or claim is not otherwise resolved through direct discussions or mediation, it shall THEN be resolved by FINAL AND binding arbitration administered by JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“JAMS Rules”).  The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in new york.  All proceedings brought pursuant to this paragraph will be conducted in the County of new york.  THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
